Terms of Service

1. Agreement to Terms

By accessing or using the UIFlexer website and services, you agree to be bound by these Terms of Service. If you do not agree with any part of these terms, you may not access or use our services.

2. Services

UIFlexer provides custom software development, web development, mobile development, and related consulting services. The specific scope, deliverables, timeline, and pricing for any engagement will be defined in a separate Statement of Work (SOW) or contract agreed upon by both parties.

3. Intellectual Property

Unless otherwise specified in a project contract:

• All content on the UIFlexer website, including text, graphics, logos, and code, is the property of UIFlexer and protected by intellectual property laws.
• Upon full payment, clients receive ownership of custom code and deliverables created specifically for their project as outlined in the SOW.
• UIFlexer retains the right to use general knowledge, techniques, and reusable components developed during an engagement.

4. Client Responsibilities

• Provide timely feedback, approvals, and materials necessary for project progress
• Ensure all content and materials provided do not infringe on third-party rights
• Maintain confidentiality of any credentials or access provided during the project
• Make payments according to the agreed-upon schedule

5. Payment Terms

Payment terms, including amounts, milestones, and due dates, will be specified in the project contract. Unless otherwise agreed, invoices are due within 14 days of issuance. Late payments may incur additional fees and may result in project suspension.

6. Confidentiality

Both parties agree to keep confidential any proprietary or sensitive information shared during the engagement. This obligation survives the termination of any agreement between the parties.

7. Limitation of Liability

To the maximum extent permitted by law, UIFlexer shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of our services. Our total liability for any claim shall not exceed the amount paid by you for the specific services giving rise to the claim.

8. Warranties & Disclaimers

UIFlexer provides services on an "as is" basis. While we strive for excellence in every engagement, we make no warranties, express or implied, regarding the outcomes of our services. We do warrant that services will be performed in a professional and workmanlike manner consistent with industry standards.

9. Termination

Either party may terminate an engagement with 30 days' written notice. Upon termination, the client is responsible for payment of all work completed up to the termination date. UIFlexer will deliver all completed work and materials upon receipt of final payment.

10. Website Use

• You may not use our website for any unlawful purpose or in violation of these terms
• You may not attempt to gain unauthorized access to any part of our website or systems
• We reserve the right to modify or discontinue any aspect of our website at any time

11. Governing Law

These terms shall be governed by and construed in accordance with applicable laws, without regard to conflict of law principles.

12. Changes to Terms

We reserve the right to update these Terms of Service at any time. Changes will be effective upon posting to this page. Your continued use of our services after changes constitutes acceptance of the updated terms.
